Fund Manager Licensing Before the Capital Markets Authority

Fund Manager Licensing Before the Capital Markets Authority

Capital Markets

A fund manager licence is the licence on which Kenya’s investment industry runs, and obtaining one is an exercise in persuading the Capital Markets Authority that your company, your people, your capital and your systems can be trusted with other people’s money. We act for fund managers at every stage of that exercise, from the first structuring conversation through grant, and for licensed managers whose obligations changed when the Capital Markets (Licensing Requirements) (General) Regulations, 2025 replaced the framework the industry had worked from for two decades.

What we do

We advise on eligibility and structure before anything is filed, because most licensing delays are built into the application at incorporation. We settle the shareholding and board against the Authority’s fit and proper requirements, prepare directors, chief executives and key personnel for assessment, and assemble the application itself, the business plan, financial projections, compliance and risk frameworks, policies and supporting evidence, in the form the Authority’s reviewers expect to see. We then manage the application through the Authority, answering requisitions promptly and completely, because an application that answers slowly is an application that ages. For licensed managers, we advise on continuing obligations, on the transition to the 2025 regulations ahead of the 13 February 2027 compliance deadline, and on the approvals a manager needs as its business grows, including special fund and collective investment scheme approvals and changes in shareholding or control.

How an application runs

The work falls into four stages. First, structuring, where the company, its capital and its people are put into licensable shape. Second, preparation, where the application file is built and every document in it is checked against the regulations before filing, since the statutory determination clock only runs on a complete application. Third, the Authority’s review, where we manage correspondence, interviews and requisitions on your behalf. Fourth, grant and after, where the conditions of the licence are implemented and the compliance calendar the licence creates is set up properly from day one.

What you bring

Instructions, your promoters’ and directors’ particulars, the financial position and source of funds behind the company, and a clear account of the investment business you intend to run. The rest is our work.

Frequently Asked Questions

How long does a fund manager licence take in Kenya?

+

The preparation of a complete, well-evidenced application is the longest part of the timeline and is within your control; the Authority’s review then runs on the statutory clock, extended by any requisition. Realistic planning treats the whole exercise in months, not weeks, and starts with structuring.

Can foreigners own a Kenyan fund manager?

+

Yes, subject to the fit and proper assessment of shareholders and beneficial owners and the governance the regulations require. We structure foreign-owned applicants regularly.

We are already licensed. Does the 2025 regime affect us?

+

Yes. Existing licensees must align with the Capital Markets (Licensing Requirements) (General) Regulations, 2025 by 13 February 2027, and the alignment touches capital, governance and conduct. Our analysis of the new regime is linked below.
