Intermediary Service Platform Licensing Before the CMA

Intermediary Service Platform Licensing Before the CMA

Regulatory Compliance and Fintech

The intermediary service platform licence is the newest licence in Kenya’s capital markets and the one built for the way Kenyans now invest, through apps, wallets and platforms that sit between the saver and the fund. If your product lets customers put money into money market funds, unit trusts or other regulated investment products without your company itself being a fund manager, this is the licence the 2025 regulations wrote for you, and operating without it is no longer an option the law leaves open. We run one of the few dedicated ISPP licensing practices in the market.

What we do

We begin with the perimeter, because the line between a licensable intermediary platform, a mere technology supplier and a business that needs a different licence altogether is drawn on the substance of the customer relationship and the movement of funds, not on what the app calls itself. We give that answer in writing, then structure the applicant, prepare the fit and proper material for its owners and officers, and build the application, the business plan, the platform and custody arrangements, the client money safeguards, the agreements with the fund managers and product providers whose products the platform distributes, and the policy suite the Authority expects. We manage the application through the Authority to grant, and we advise licensed platforms on the continuing obligations, disclosures and approvals that follow.

What you bring

The product itself, shown to us as a customer would use it, the flow of customer money from deposit to investment and back, your arrangements with the underlying fund managers, and the particulars of the company and its owners. Founders who bring us the real customer journey early save themselves a redesign later.

Frequently Asked Questions

Does my investment app need an ISPP licence?

+

If Kenyans invest in regulated products through it and your company is not itself the licensed manager of those products, almost certainly yes. The perimeter question deserves a written answer before you file anything, and our full analysis is linked below.

We only provide the technology. Are we caught?

+

A genuine technology supplier to licensed institutions sits outside the licence, but the regulators look at who has the customer relationship and who touches the money. Labels do not decide it; substance does.

Can the platform hold customer money?

+

Client money is the centre of the Authority’s scrutiny. The application must show exactly where customer funds sit at every moment and under whose protection, and we design that architecture with you before it is filed.
