Company Registration in Kenya for Foreign Investors

Company Registration in Kenya for Foreign Investors

Corporate and Commercial Law

A foreign investor can, in most sectors, own one hundred percent of a Kenyan company, and the registration itself is the easy part. What separates a smooth entry from an expensive one is everything the checklists leave out, the ownership structure and its consequences, the registrations that follow incorporation, the compliance appointments the law now requires of foreign-owned companies, and the honest timeline against which a board abroad should plan. We set up Kenyan companies for foreign investors as a complete engagement, from the first structuring call to a company that can lawfully trade, bank and employ.

What we do

We advise on the right vehicle and shareholding before filing, including the sector-specific ownership rules that apply in a handful of industries and the consequence, often missed, that a company with any foreign shareholder cannot hold freehold land in Kenya, only leasehold. We then incorporate through the Business Registration Service, complete the beneficial ownership filings the Companies Act requires, obtain the company’s tax registration, and attend to the appointments a foreign-owned company must make, including the Kenya-resident contact person required where the company has no local director or qualified secretary, a requirement that carries continuing penalties and that most new entrants discover only when it is already costing them. We introduce the company to bankers, obtain the national and county licences its business needs, and, where the investors or their staff will work in Kenya, run the work permit applications alongside so the people arrive when the company is ready for them.

What you bring

The shareholders and directors and their identification documents, the intended business and where it will operate, and the funding plan for the company. We tell you at the outset exactly what each person must supply, in what form, so documents are gathered once.

Frequently Asked Questions

Can a foreigner own 100% of a Kenyan company?

+

In most sectors, yes. A small number of regulated industries carry local ownership requirements, and we confirm the position for your sector before anything is filed.

Do I need a Kenyan director?

+

The Companies Act does not require one, but a company with no Kenya-resident director and no qualified company secretary must appoint a Kenya-resident contact person, and banks and some regulators are easier to deal with when someone is on the ground. We advise on the arrangement that fits your governance.

How long does registration take?

+

The incorporation itself is quick when the file is complete. The realistic measure is the whole set-up, incorporation, tax registration, bank account and licences, and we give you an honest end-to-end timeline for your sector rather than the registry’s best case.
